Delaware Good Standing Certificate
A Good Standing Certificate (also known as Certificate of Existence, or Certificate of Status) is a statement issued by the Delaware Secretary of State’s Office that the company in question is valid, legally exists as a Delaware Corporation or Limited Liability Company, is current with all franchise taxes (or LLC taxes), filings, and registered agent services, and thus is in good standing with the State of Delaware as of the date of issuance. The Good Standing Certificate is a certified document that includes a verification code. Anyone receiving this document can go to the official Delaware Division of Corporations website, and enter the verification code to confirm its authenticity.
This document is generally required by other states or countries if you register with them as a foreign company planning on doing business in their jurisdiction. Many financial and banking institutions also request a Good Standing Certificate when you open a business account, apply for a loan, merchant account, or a line of credit. Also prior to signing a large contract, a company may be asked to present a Good Standing Certificate.
Also available is the Long Form of a Good Standing Certificate. This Certificate states all the documents that have been filed by the business entity, including the dates and times and any name changes that have occurred, along with the status at the time the certificate is issued.

Certified Copies of Formation Documents
A certified copy is a reproduction of the official document filed with the Delaware Division of Corporations. A separate sheet is attached to the document bearing the Delaware Secretary of State stamp and seal certifying it is a true and legal document.
Certified copies of Certificates of Incorporation (for a corporation), or Certificate of Formation (for an LLC) are generally required by other states if you register with them as a foreign entity planning to transact business in their jurisdiction. Many financial institutions and banks also request a certified copy of the formation document when you open a business account, apply for a loan, or a line of Credit. We can supply these certified copies when forming your business entity or anytime thereafter.
As your Registered Agent we can also supply Certified Copies of other documents that you may require, such as: a Certificate of Amendment, Certificate of Renewal, Statement by the Secretary of State regarding a Name Change, etc. Sometimes, Federal and State Government agencies require certified copies of these documents prior to signing a contract.
A Delaware Certified Copy of a document now bears an authentication number which may be verified by the requesting party with the Delaware Division of Corporations by entering the code number on their website under Validate Certificate. This also allows the Certificate to be transmitted by E-mail or Fax for verification. The authentication number is valid for one year from the date of issuance.

Since October 15, 1981, the United States has participated in the 1961 Hague Convention abolishing the Requirement of Legalization for Foreign Public Documents. The Convention provides for the simplified certification of public documents to be used in countries that have joined the convention. Under the Hague Convention, signatory countries have agreed to recognize public documents issued by other signatory countries if those public documents are authenticated by the attachment of an internationally recognized form of authentication known as an “Apostille.” The Apostille ensures that public documents issued in one signatory country will be recognized as valid in another signatory country.
As your Delaware Registered Agent, we can obtain an Apostille for any Delaware Certified Copy of a document if your business needs require this certification. An Apostille is a one page document issued under the Great Seal of the State of Delaware by the Secretary of State that is attached to a certified copy of a document such as your Certificate of Incorporation, Formation copies of an LLC, LLP, or LP, or a Good Standing Certificate. As required, all copies of documents have the State of Delaware gold seal affixed. Good Standing Certificates are automatically a certified document and also come with a State of Delaware gold seal affixed. Many foreign countries require this document as evidence of Delaware Incorporation. Each document requires a separate Apostille. An Apostille is not a standalone document; it must be obtained with a certified document.
Apostilles may also be attached to non State of Delaware documents relating to the business entity such as a Certificate of Incumbency or corporate resolutions. To obtain an Apostille on a Non-State of Delaware document we must obtain a certification by a Delaware Notary and mail the document to the Delaware Division of Corporations for an Apostille to be attached.
